1. Agreement to Terms

When you access or use the DesiFlorida website, mobile applications, official social channels, and related services (collectively, the "Platform"), you accept these Terms of Service ("Terms"). DesiFlorida, operated by the individual site owner as a personal project (not a registered LLC or corporation) operates the Platform ("Operator," "DesiFlorida," "we," "us," or "our"). If you do not agree, do not use the Platform.

You must be at least 18 years old to create an account, post listings, or use matrimonial features. By using the Platform, you confirm you meet this requirement.

2. What DesiFlorida Is - and Is Not

DesiFlorida is an online classifieds and community directory. We provide technology for users to post, browse, and connect around housing, services, events, careers, businesses, and community listings. We are not a broker, agent, employer, landlord, matchmaker, event organizer, or party to any deal between users.

We do not verify, endorse, guarantee, or take responsibility for the accuracy, legality, quality, safety, or suitability of user content, listings, advertisements, or third-party services on the Platform.

3. Your Content

You alone are responsible for everything you submit - listings, images, contact information, and messages ("User Content"). You confirm that:

• Your User Content is accurate and not misleading;
• You have the rights to post it;
• It does not break any law or infringe third-party rights;
• It does not include malware, spam, hate speech, harassment, fraud, or illegal material;
• Matrimonial listings follow applicable law and do not promote unlawful marriage arrangements.

We may monitor, review, edit, remove, or refuse User Content at our discretion, with or without notice. We have no obligation to do so.

4. License You Grant Us

When you submit User Content, you grant DesiFlorida a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute that content to operate, promote, and improve the Platform - including in marketing and search results.

5. Prohibited Conduct

You may not:

• Post false, fraudulent, or deceptive listings;
• Scrape, crawl, or harvest Platform data without written permission;
• Bypass security or access areas you are not authorized to use;
• Use the Platform for illegal activity, including discrimination barred by law;
• Impersonate any person or organization;
• Disrupt other users' use of the Platform;
• Upload content that infringes intellectual property rights.

6. Advertising, Promotions, and Third-Party Links

The Platform shows ads from DesiFlorida and third parties. We sell promotional packages that may include website placement, email, and official DesiFlorida social channels (Instagram, YouTube) when agreed in writing or at checkout.

Paid video or reel promotions: If your package includes video or reel placement, supply a valid public video link (YouTube Shorts, Instagram Reel, or an approved hosted URL) or materials we accept. You confirm you own or have rights to the creative, music, and trademarks shown. You grant DesiFlorida a non-exclusive license to display, embed, link to, or cross-post that creative on the Platform and agreed channels for the paid term only.

We do not control Instagram, YouTube, or other social networks. Posts there may be removed, limited, or fail because of rules outside our control. We do not guarantee reach, impressions, clicks, or sales from any ad.

We are not responsible for advertiser content or for products and services on linked third-party sites. Your dealings with advertisers and third parties are between you and them. Advertising questions: sony@desiflorida.com.

7. Matrimonial Listings

Matrimonial posts are user introductions only. DesiFlorida does not run background checks, verify identities, or guarantee compatibility. You accept all risk from matrimonial contact. Verify people independently and share personal information carefully.

8. Housing and Careers

We do not verify housing for habitability, safety, or fair housing compliance. We do not verify employers on career posts. DesiFlorida is not liable for housing discrimination, employment disputes, wage claims, or lease problems between users.

9. Your Assumption of Risk

You accept all risks from using the Platform, including from: meeting or transacting with other users; relying on listings, reviews, schedules, showtimes, or event data; clicking ads; following third-party links; and using information from DesiFlorida social channels. The Operator does not run background checks, site visits, license checks, or safety inspections unless we state otherwise in writing for a specific paid service.

10. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, LISTINGS, SCHEDULES, MOVIE SHOWTIMES, SPORTS DATA, AND ADVERTISEMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. THE OPERATOR DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR, DESIFLORIDA, AND ANY RELATED INDIVIDUALS, CONTRACTORS, OR SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

• Your use of or inability to use the Platform or official social channels;
• Any user content, listing, message, or conduct of any user or third party;
• Any advertisement, sponsored post, or promotional placement;
• Unauthorized access to your account or data;
• Any transaction, dispute, injury, or loss between users or between you and an advertiser;
• Errors or omissions in movie showtimes, sports schedules, or event information;
• Removal or failure of content on Instagram, YouTube, or other third-party platforms.

WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL THE OPERATOR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE GREATER OF (A) ONE U.S. DOLLAR ($1.00) OR (B) THE AMOUNT YOU PAID THE OPERATOR FOR THE SPECIFIC PAID SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM.

Some jurisdictions limit certain exclusions; there, our liability is capped at the greatest extent the law allows. Nothing here excludes liability that cannot be excluded under applicable law (such as intentional misconduct where exclusion is prohibited).

12. Indemnification

You agree to indemnify, defend, and hold harmless the Operator, DesiFlorida, and related individuals and service providers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your User Content or ad creative; (b) your use of the Platform; (c) your breach of these Terms; (d) your breach of law or third-party rights (including copyright on video ads); or (e) any dispute between you and another user or advertiser.

13. Release

To the fullest extent the law allows, you release the Operator from claims, demands, and damages (actual and consequential) of every kind, known and unknown, tied to your use of the Platform, listings, advertisements, or third-party interactions - except where such a release is prohibited by law.

14. DMCA / Copyright

To report copyright infringement, email sony@desiflorida.com with: (1) identification of the copyrighted work; (2) identification of the infringing material and its URL; (3) your contact information; (4) a good-faith statement; (5) a statement under penalty of perjury; and (6) your physical or electronic signature. We may remove infringing content and terminate repeat infringers.

15. Dispute Resolution - Binding Arbitration

Disputes arising from these Terms or the Platform go to binding individual arbitration under American Arbitration Association Consumer Arbitration Rules, except either party may seek injunctive relief in court. You waive the right to join a class action, class arbitration, or representative proceeding.

Arbitration takes place in Florida unless the law requires otherwise. Opt out within 30 days of account creation by emailing sony@desiflorida.com.

16. Governing Law

These Terms follow the laws of the State of Florida, without regard to conflict-of-law rules. Non-arbitrable claims belong in state or federal courts in Florida.

17. Changes and Termination

We may update these Terms by posting a new version on the Platform. Continued use after changes means you accept them. We may suspend or terminate your account at any time, including for Terms violations.
